This User Service Agreement (hereinafter referred to as “This Agreement”) is a legally binding agreement between the User (hereinafter referred to as “The User”) and the Vidzy Software Operator (hereinafter referred to as “The Operator”) regarding the User‘s use of the Vidzy Software (hereinafter referred to as “The Software”) and its related services. By accessing, downloading, installing, or using the Software in any way, the User is deemed to have fully read, understood, and voluntarily accepted all the terms and conditions of this Agreement; if the User does not agree with any terms and conditions of this Agreement, the User should immediately cease accessing, downloading, installing, and using the Software.

This agreement aims to clarify the rights and obligations of both parties, to regulate the behavior of software use, to ensure the legitimate rights and interests of both parties, to comply with the internationally accepted standards for Internet services and relevant legal guidelines, without involving any relevant factors within China and the applicability of laws.

1. Definition and Applicability Scope of the Agreement

1.1 Core Definitions

1.1.1 Users: Means individuals, corporations, or other organizations who obtain and use this Software and related services through legitimate channels, and whose use behavior is subject to this Agreement and the legal and regulatory requirements of their locality.

1.1.2 Software and Services: Means Vidzy video playback and management software developed and operated by the operator, as well as all related services such as video upload, storage, playback, folder management provided by it.

1.1.3 Operator: Means the entity responsible for developing, operating, maintaining and providing services to the Vidzy Software, possessing all intellectual property rights and related operational rights to the Software.

1.2 Applicability Scope

1.2.1 This Agreement applies to all users who use the Software and related services, regardless of the device through which users access or use the Software, such as a mobile phone, tablet, computer, etc.

1.2.2 This Agreement applies to all core services provided by operators, including but not limited to video playback, video uploads, folder management, account management, etc., and does not apply to links, plugins, or services provided by third parties through this Software.

2. User Account-Related Agreements

2.1 Account Registration

2.1.1 When users register for this Software account, they are required to provide authentic, valid, and complete information (including but not limited to email addresses), ensuring the legitimacy and traceability of the account information, and not providing false, spoofed, or illegally obtained information.

2.1.2 Operators have the right to verify user registration information, and for non-compliant accounts, have the right to refuse registration, suspend use, or sign out of the account, and are not liable for any liability.

2.2 Account Management

2.2.1 Users should safeguard their account information (including username, password, etc.) and take full responsibility for all operations under their account. Users will bear full responsibility for any losses caused by account breach or theft.

2.2.2 When a user discovers an account anomaly (including but not limited to pirated, anomalous login), the user should immediately notify the operator, and the operator will provide reasonable assistance based on the user‘s request, but will not bear any direct or indirect losses resulting from the account anomaly.

2.3 Account Logout

2.3.1 Users have the right to request the cancellation of their account. Before cancellation, all related fees (if any) must be paid. After cancellation, users will no longer be able to use that account to access this Software and related services. All data in the account (including videos, usage records, etc.) will be processed according to the terms of this Agreement.

3. Software Usage Specifications

3.1 Legal Use Requirements

3.1.1 When using the Software and related services, users are required to comply with the laws and regulations of their locality, international conventions, and public procedures, and may not use the Software for any illegal or unlawful activities.

3.1.2 Users may not use this Software to upload, store, or distribute videos containing illegal, obscene, violent, infringing rights, etc., and may not violate other people‘s legal rights such as intellectual property, privacy, and reputation rights.

3.2 Prohibited Behaviors

3.2.1 The Software is prohibited from being reverse-engineered, decompiled, disassembled, or modified, from violating the Software‘s technical limitations, from tampering with the Software code, or from circumventing the Operator‘s security controls.

3.2.2 You are prohibited from using this Software to send spam messages, conduct phishing, disseminate malicious software, or engage in any behavior that interferes with the proper operation of the Software and harms the rights of operators and other users.

3.2.3 The Software and related services are prohibited from being used for commercial purposes (including, but not limited to, leasing, selling, sublicensing, etc.) without the operator‘s permission, and the Software is not to be used for profit-making activities.

4. Operator Rights and Obligations

4.1 Operator Rights

4.1.1 Operators have the right to update, adjust, or optimize software features and service content based on technical upgrades, market needs, and changes in laws and regulations, without prior notice to users, but with significant disclosure within the software.

4.1.2 The Operator has the right to take precautions such as warning, feature restriction, account suspension, account cancellation, and, if necessary, prosecution of users who violate the terms of this Agreement or use the Software illegally.

4.1.3 Operators have the right to collect and use non-personal information from users (such as usage records, software execution logs) in compliance with international data protection standards, for software optimization and service enhancement.

4.2 Operator Obligations

4.2.1 Operators should strive to ensure the stability and security of the Software and related services, provide reasonable technical support, and promptly address failures that occur during the operation of the Software.

4.2.2 Operators must strictly comply with international data protection guidelines to protect the security of users‘ personal information and uploaded content, and must not disclose, sell, or disclose user information to third parties without permission (except as otherwise stipulated by law and regulations).

4.2.3 Operators should provide users with convenient channels for consultation and complaints, respond promptly to users‘ reasonable claims, and safeguard users‘ legitimate rights and interests.

5. User Rights and Obligations

5.1 User Rights

5.1.1 Users have the right to legitimately use this Software and related services, to self-upload, manage personal video content, and enjoy the core functions provided by the Software, such as playback and classification.

5.1.2 Users have the right to make recommendations on software features, service quality, and to lodge complaints about breach of service or improper handling behavior, and operators should respond and handle them promptly.

5.1.3 Users have the right to freely choose whether to use some non-core features of the Software based on their own needs, and have the right to withdraw their consent to information collection and use (but may cause some features to not function properly).

5.2 User obligations

5.2.1 Users should strictly comply with the terms of this Agreement and the relevant rules issued by the operator, regulate their use of the Software and related services, and not engage in acts that violate laws or regulations or harm the rights of others.

5.2.2 Users are liable for any associated costs arising from their use of the Software (such as network traffic fees) and any losses resulting from their own misconduct, and the operator is not liable for any related liability.

5.2.3 Users must ensure that they have the legal ownership or use rights to the video content they upload, and if any third-party claims result from infringement of the video content, the Users assume full responsibility alone, independent of the operator.

6. Intellectual Property Attribution

6.1 Intellectual Property Rights of Software

6.1.1 All intellectual property rights of this Software (including, but not limited to, copyrights, trademarks, patents, proprietary technologies, etc.) belong to the operator, and users are granted only limited use rights of the Software, and may not copy, distribute, or transfer any portion of the Software without permission.

6.1.2 The interface design, icons, text, code, and all other elements of the Software are protected by international intellectual property laws and cannot be used, modified, or used for any other purpose without the written permission of the operator.

6.2 Intellectual Property Rights of User Content

6.2.1 The intellectual property rights of the video content and related information uploaded by the user belong to the user or the relevant rights holders, and the user authorizes the operators to store, transmit, play back, etc. the content as necessary to provide the service, without additional charge.

6.2.2 If the content uploaded by the user violates the intellectual property rights of a third party, the operator has the right, upon receipt of notification from the third party, to delete the relevant content and restrict the user‘s functionality, with the resulting responsibility being borne by the user alone.

7. Disclaimer

7.1 Disclaimer for Irresistible Forces

7.1.1 Operators are not liable for any failure of the Software to function properly, disruption of service, or loss of users due to irresistible forces (including but not limited to natural disasters, wars, network disruptions, third-party service failures, etc.).

7.2 Disclaimer for User Behavior

7.2.1 The loss resulting from the user‘s violation of the terms of this Agreement, improper operation, account leakage, or illegal and unlawful use of the Software is the sole responsibility of the user, and the operator assumes no responsibility.

7.2.2 The user assumes full responsibility for any third-party claims, administrative penalties, or other legal liability resulting from infringement of rights, violation of law, or other consequences of the content uploaded by the user, and the operator has the right to prosecute the user for breach of contract.

7.3 Technical Limitations Disclaimer

7.3.1 The Operator does not guarantee the absolute stability and faultlessness of the Software and Services. For temporary failures, outages, and other problems that occur during the operation of the Software, the Operator will do its best to fix them, but will not be liable for the resulting user losses.

7.3.2 Operators are not responsible for the failure to use the Software due to factors such as user device configuration, network environment, etc., and users should troubleshoot device and network issues on their own.

8. Dispute Resolution and Contact Methods

8.1 Dispute Resolution

8.1.1 The establishment, execution, interpretation and dispute resolution of this Agreement are governed by the international law and neutral third-party arbitration rules.

8.1.2 Any disputes arising between the parties due to this Agreement should be resolved first through friendly negotiation; if negotiation fails, any party has the right to apply for arbitration by a neutral international arbitration body, and the arbitration ruling is final and binding on both parties.

8.2.2 The operator will respond within 7 business days after receiving the user‘s email to promptly handle the user’s reasonable claims and ensure the user’s legitimate rights and interests.

Effective Date: This Agreement is effective from the date the User first uses this Software.

The operator has the right to modify this agreement in accordance with changes in laws and regulations and operating requirements of the software. The revised agreement will be published in a prominent position within the software, and users‘ continued use of the software will be considered to accept the revised agreement.
